4. What We Expect from You
Working with us is a collaboration. As our client, you agree to:
- Provide timely feedback, assets, and approvals.

- Make full payments as per agreed timelines.
- Comply with any legal or regulatory obligations relevant to your project.
5. Payment Terms
Unless otherwise stated in writing:
- 50% of the total project cost is due upfront.
- The remaining 50% is due upon final delivery or agreed milestone.
Late payments may incur additional charges or lead to suspension of services. All payments are non-refundable unless explicitly agreed otherwise.
6. Intellectual Property
All creative work — designs, content, visuals, and strategies — remains the intellectual property of xSpark Agency until the project is paid in full.
Upon full payment, rights to final deliverables transfer to you. We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
7. Liability Limitations
While we strive for excellence, we are not liable for:
- Any indirect or consequential loss from using our services.
- Delays caused by lack of client communication or delayed approvals.
- Losses resulting from third-party platforms, plugins, or vendors.
Our liability in any case will not exceed the total amount paid for services.
8. Ending the Partnership
Either party can terminate services with written notice.
If you terminate:
- You must compensate for all work completed up to that date.
If we terminate:
- You will receive a summary of completed deliverables and any dues will be invoiced accordingly.
All confidential material must be returned or destroyed upon termination.
9. Confidentiality
Your business stays your business.
We treat all shared data, strategies, and conversations as strictly confidential. No third-party disclosure without your written permission — unless legally required.
10. Third-Party Tools & Platforms
We sometimes work with external services (like hosting platforms, SEO tools, or plugins). While we ensure best practices, we’re not liable for outages, data loss, or issues stemming from those third-party services. We recommend reviewing their terms individually.
11. Legal Jurisdiction
These Terms are governed under Indian law.
All disputes, if any, shall fall under the exclusive jurisdiction of the courts in New Delhi, India.
